TEMPE, Ariz., Jan. 31 /PRNewswire-FirstCall/ -- US Airways (NYSE: LCC - News) today withdrew its offer to merge with Delta Air Lines Inc. (OTC: DALRQ - News). The airline was informed earlier today that the Official Unsecured Creditors' Committee would not meet its demands by the airline's established deadline of Feb. 1, 2007. As previously announced, US Airways' offer of $5.0 billion in cash and 89.5 million shares of US Airways stock would have expired on Feb. 1, 2007, unless there was affirmative support from the Official Unsecured Creditors' Committee for commencement of due diligence, making the required filings under Hart-Scott-Rodino, as well as the postponement of Delta's hearing on its Disclosure Statement scheduled for Feb. 7, 2007.

Delta's creditors "know exactly what they have to do," Parker said in a conference call on quarterly earnings. "If this (creditors) committee is not willing to do what it should do for investors ... we're not willing to pursue this transaction anymore."
Although Parker had earlier placed a Feb. 1 deadline on his offer, his comments suggested for the first time that US Airways (LCC) may be poised to walk away from the deal it proposed in mid-November and sweetened earlier this month.
Parker's comments followed days of frantic maneuvering by people on all sides of the controversial bid. US Airways' cash-and-stock offer for Delta, which has been in Chapter 11 reorganization since September 2005, has been rejected by Delta's management. Delta has lobbied its creditors to accept Delta's own plan to emerge as a stand-alone carrier. A merger would create the country's biggest domestic carrier.
Parker sweetened the offer for Delta by 20% three weeks ago, and the court-approved committee representing Delta's creditors hasn't responded. The committee could act today. Parker wants the creditors to force Atlanta-based Delta to open its books and postpone a bankruptcy court hearing scheduled for next Wednesday on Delta's stand-alone plan.

I think it is time now for Doug Parker to send Jerry Grinstein an olive branch, and offer him a consulting position upon his retirement from DL to help him finish the real task he has at hand; integrating the HP and US work-groups. Something Grinstein is experienced and highly qualified to help him do. If Doug really wants Delta, why not apply for the CEO vacancy upon Jerry's forthcoming retirement?  stirthepot

Still, I wonder: now that Doug's hostile takeover attempt is out of the way, I wonder if AirTran will start FWA? We were in the top 5 cities in terms of votes, and Allegiant is having great advance bookings for FWA...

Well, the relief for the Delta folks is obvious. But, I have to say, I for one think that consolidation is necessary and will happen one way or another. I don't think DL/US was necessarily right, but other mergers are almost certain to happen.

At some point, there does need to be consolidation in the industry. In a week or less, there will already be a post on A.net with how evil DL management is, and how rightous their unions are. Meanwhile, DL will recover, appear to do well for 2-3 years, and then crash again.

It's a sad sad cycle.

Oh well. Time to put more money in WN, F9, B6 and FL.

I don't think there is any proof that the current USAirways management is more competant than Delta's. They appear to be equally qualified if you look at results for the last six months or so.

the Delta people dont agrue that.... its the resulting fleet mess, with not one compatible fleet type, the MASSIVE overlap in route networks, no doubt over 10,000 reduced jobs, even if ti was all through attrittion, thats 10,000 less aviation jobs to be had.

From the Us perspective, they saw, lucrative INTL routes and a good product, it makes perfect sense. Form the DL perspective, there was no strategic gain whatsoever, in both fleet and network.

Can't blame US for trying, and you can't blame DL for denying....

I don't think people are against consolidation. People were against a merger that makes absolutely NO sense from any viewpoint.

There are plenty of mergers that make sense, including NW/DL, NW/CO, DL/CO, DL/AS, B6/F9, CO/UA and many many others. You could argue that almost any other possible merger between airlines made more sense than this one. Even AA/UA makes more sense.
