Barriers For A Germanwings-TUIFly Merger

According to German Manager Magazin 03/2008 (Lufthansa/Tui: Peinliche Prüfung, http://www.manager-magazin.de , article is not free assessable) LH is handling the merger-project TUIfly/ Germanwings with care.

LH is in doubt if the merger will pay off. It seems as TUIfly has a big cost problem. A study of Roland Berger Strategy Consultants showed that TUI corporate group could have saved 148 million Euros in 2006 by flying their guests with Air Berlin instead of carry them with their own airline TUIfly. Now LH and 4U try to figure out if this problem would be solved by a merger or if the project will be canceled.

Michael Frenzel, CEO of TUI, was hoping that the ordered 787s would be interesting for LH and possible long-haul services of Germanwings. However Wolfgang Mayrhuber, CEO of LH, decided that Germanwings will not operate long-haul flights. As LH didn't order 787s the Dreamliner would be an additional aircraft which would create unneeded complexity.

Mergers and akquisitions are always performed only after the due diligence (peinliche Pruefung) has shown the result will benefit all concerned.

Mr,. Frenzel should have kept Preussag and not ventured into the transport field at all, that includes Hapag Lloyd.

This could be interesting to see how the dice rolls.- If LH cancels the deal, TUIfly will have more than one headache. But it could also cancel the Air Berlin / Condor deal, unless LH gibves the green light (to the M&A board in Berlin) for that.

No wonder if you change the name, the corporate identity and the concept every five minutes  old

However, without competition from X3, AB surely would have increased their prices for tour operators (incl. TUI) and that potential 148 M€ of saving would have been lower.
