Also why does US need to clear the sale.What is the reason.
Why could the IAF not buy the AWACS from US.
Or is it not for sale.

HAWK: The phalcon is Israeli made, but uses parts which are on the "Restricted List" of items, which requires US clearance before Israel can sell it to any third party.

The story is on BBC, IAI will buy some used Il76s and send them to Russia for structural mods and new engines, then they'll go to Israel for the radar and avionics before delivery to India. Why the US is permitting these to be sold is anyones guess, my impression was that the US was trying hard to get in pretty tight with Pakistan at the moment. I understand that under Bush, weapons systems (often the same kinds) have been sold to both countries, but a new bid from Pakistan for F-16s was denied, as were previous Israeli attempts to sell Phalcons to India.
