All three....good news. This will definately help FL out in the merger talks. I expected tow to get elected, the third just bolsters the case.

Something tells me that they will merge, and they meaning the combined FL/YX will be the aquisition WN has been looking for. More so it will be interesting to see how Frontier will do after and if an FL/YX merger is approved.

I don't know if you meant it or not, but calling AAI "the big A" could catch on in YX country!

Hmm...any particular reason you'd think that just two but not three would be elected? I don't think there's anything in particular going on about the three members defeated and the three elected. The three AirTran nominated are pro-sale and the three voted out are anti-sale. Tecnhically, none of those six are pro or anti-anything and are to act in the best interest of shareholders and stakeholders, but in fact the guys on the way out were anti-sale and the guys nominated are pro-sale. AirTran didn't nominate people who would be against the sale.

What happens now? If two more board members are swayed and they vote to disable the poison pill, do we immediately have a deal? Could this thing happen today?

It would be an interesting proposition to then merge F9 with FL, though the fleets are not in any way common. Hubs around the middle of the country, all narrowbody, carribean and mexican routes. Would also love to see the Frontier name and scheme live on. So much better than the name and the colors of Airtran.

There is a rumor - and I stress it is only a rumor - going around the internet stock boards that the FF alliance between Frontier and Airtran will go to full code share later this year.

It is said there was a throwaway reference to it in one of Airtran's presentations to investors/analysts.

Bravo,

The stock holders have obviously spoken and are fed up with the intransigent attitude the Midwest management has show to date with Airtrans offer.

While there is no guarantee any deal will be consummated, its is the duty of the board to in good faith consider Airtran's offer and accept it if it brings the greatest value out of the organization.

Personally I'd say this is a win-win for both companies.. Airtran obviously manages to grow into newer markets outside of Atlanta, while Midwest gets to align itself with a successful LCC, one that is on firmer financial footing then Midwest.

IF the merger goes through, a code share may well be beneficial to both. It think the stand alone LCC are going to have to code share just like the legacy....Look at SW and ATA for example.

I noticed the pull down , as well, eff. Aug 1st, but i did notice all jet to DSM..added freq to ATW, all jet to FNT, CRJ's to EWR(already mentioned above), a CRJ to MSN from MKE,
The timing on the MSN flight is better out of MCI now..It was at 955pm ..now 645pm!

It must have to do with a sooner pull down of Beeches or handover to Great Lakes??!!

One of the proxy advisory firms, Glass Lewis, only recommended 2 of the 3 -- so some thought institutional shareholders may have only voted for 2 as well. I believe Albertine was the one they did not recommend.

The fact that the entire AirTran-backed slate was voted in, combined with the recent numbers announced in regards to the tender offer, means that Midwest's upper management may need to update their resumes in the near future. There was an interesting article in today's AJC regarding the impending vote and gave an interesting comparison between the two airlines.

From Pivotal Vote Coming In AirTran's Takeover Battle

Quote:
Although the Boeing 717 is the workhorse of both AirTran and Midwest fleets, the two companies have different origins, philosophies and visions for the future.

Midwest was once the corporate flight department for Wisconsin-based Kimberly-Clark and has always emphasized top customer service. It offered roomy, all-business-class seating and other perks and was widely recognized as an asset for corporate leaders. It does much of its training and maintenance in-house and its gleaming headquarters buildings and tree-lined, manicured grounds are a stone's throw from its main hub.

AirTran evolved out of ValuJet, the discounter born in Atlanta in the early 1990s, and has always emphasized discount prices. Its no-frills offerings are meant to keep costs to a minimum. It aggressively outsources maintenance and other logistical support, and its nondescript offices at its Orlando headquarters and an Atlanta operations center adhere to the same philosophy.

This isn't going to be a quick action either. While this could be likely the last annual shareholders meeting Midwest ever has, the company does have state corporate laws on their side. The new directors would only need to get support from 2 additional directors, and if this happens, the path to a merger gets a lot less obstacle-filled. I think this time 6 months from now, this drama will still be unfolding. While I doubt there will be any issues with the merger from the Federal level, who knows what can happen in any merger.

I would not yet make any bets on the sale or a merger happening.

The Midwest Board will hear an AirTran presentation and consider it.

Given that the Board has to consider the effects on their passenger base, employees, etc they cannot easily be successfully sued by just the shareholders looking for shareholder profits (a benefit of Wisconsin Incorporation).

The Board can still reject merger and there is nothing the 3 new board members could do to stop that (and while the three new Board members may be pro-sale, does not mean they will automatically vote for merger or sale based only on shareholder demands).

I give this a 50% chance of extending to after next years board meeting.

What will be the relative financial position of each company a year from now? I can see a scenario where the AirTran merger idea just dies if this goes for a long time.

If the AirTran offer is really a good long term value - then it will still be a good idea a year from now - and a year past that as well.

Ovens add weight, weight burns fuel, the cookies may survive the merger, but I bet they will not be baked on board. Perhaps FL will invent an aerosol spray that smells like baking cookies that the FA's can spray throughout the cabin before they serve the Chips Ahoy to the passengers to simulate that "baked onboard" experience!  yummy

RE: Airtran Nominees Elected At YX Meeting

I was at the meeting this morning. And, yes YX did fully expect all three nominees to be elected. Tim was calm, professional and tactful. The YX pilots marching from the Four Points to the Skyway hangar was great. Many sharholders who spoke at the meeting said what a great bunch of pilots we have, as well as employees of YX. All but one, the last one to speak, was very against FL. It was great to see the Pilots and FA wearing they "say NO to AirTran" buttons. They have been wearing these in flight since Tuesday. One gentleman even read a poem, and received a standing ovation. Boy the look on the AirTran reps faces was classic after that.. I wish I could have had my camera out. The FL reps took a lot of notes. I have heard and do think the YX employees are going to start being more vocal, expressing to FL their desire to be independent. Don't know how much good it will do, but hey, It helped DL. FL needs all the MKE airport/ops people they can get if they want this merger to be successful. The last thing they need it to have labor issues in their "new hub" Just look at what crappy employees/understaffed stations did and are doing to US Airways in PHL.

Do I think this is a done deal, hell no. It is not close, closer than yesterday, but far fom done. I keep reading the posts where people are saying "Pro deal or Anti Deal" Trust me, the new BOD will be uner a microscope. Tim did agree to listen to what FL has to present, however he also stated that they three nominees will be watched very carefully that they act in the best interest of the shareholders/stakeholders. Furthermore, don't forget what one of the WI senators said about FL and how he will watch every thing they do, very closely.

Just remeber, IF this goes through, once it is done, it can't be reversed. Joe and Co has promised a lot, but once the deal is done, all promises mean nothing.

What exactly HAS Joe promised? We have all this fluff like "customer service best practices" and very little substance.

Job growth, current employees retaining jobs, except for a few executives, combining the best of both airlines, which hasn't AirTran already took what they think is best from YX and added to their company? And Cookies on the flights.

N917Me only has it partially right:

Joe has promised to eliminate the comfort 2 x 2 seating and reduce to low cost fares - so that the current Midwest customers will save money.

What I think Joe completely misses.... The vast majority of MidWest passengers are not interested in just saving money and being jammed into another sardine carrier. If they were interested in that - they wouldn't be MidWest customers as their are plenty of available airlines like that.

The stakeholders protection law is *completely* about how it is interpreted. All it takes to overcome that is a belief that FL's projections are correct and that there will be more jobs and better fares. FL clearly realizes it needs to be active in the MKE community, so it won't ignore that.

As to the WI Senators, while Sen. Kohl has threatened to use his position on the Judiciary committee to work against this. Frankly, he's insane if he thinks he can build an anti-trust case against this merger. Best of luck to him. Frankly the politicians in Washington are all blithering idiots...I worked there for the last year and decided I had better things to do with my time...and they ought to stay out of things like this. I do doubt, however, that Kohl has the actual ability to significantly hinder this merger. There is no legitimate anti-trust case that could be built out of this, and he's just showing off for the voters.

But there won't be more jobs, will there? FL has never said that. And the notion of better fares benefiting consumers is certainly debatable here. If that were the case, NW would have run YX out of Milwaukee when they tried to do that in 2003-2004.
