The court in Dublin has approved the liquidation of Torskefjord Leasing Ltd (Torskefjord = Cod Fjord) that has the leasing contract for 24 787s, which again was subleased to IC operation of Norwegian

It is not completely clear to me, but does that mean Norwegian then has got rid of the leasing obligation for 24 787s?

You mean Torskefjorden? They only had leased aircraft. This was basically an Irish company set up on purpose to lease 787, which other Norwegian entities then could sub-lease

Various leasing companies, like BOC, MG Aviation, AerCap etc

The Norwegian government has today said they are positive to provide Norwegian hybrid capital, dependent on Norwegian can raise minimum 4,5 billion NOK from private investors and cut their debt according to their newest recontruction plan

Some more details about their planned restructuring has emerged during a hearing at the court in Oslo today (remember they are restructuring in the courts both in Norway and Ireland) and this is what is written in the Norwegian financial press

50 aircraft, 737s, in 2021, and 68 in 2022. Of these 68, 40 will be based in Norway, while 28 will mainly be flying between the Nordics and rest of Europe

Reduction of total debt from 60 billion NOK (almost 6 billion EUR) to 20 NOK. Of this, the debt related to aircraft will be reduced from 46 t0 10 BNOK, by returning both owned and leased aircraft, and enter into new and cheaper leasing contracts

Norwegian and Boeing will also have their first encounter at the court in Chicago later today, as Norwegian is suing Boeing over both the 787s and MAXes

Among the terms, Airbus will keep any prepayments it has received and will still be owed 600,000 pounds ($847,800) by Norwegian, he said.


So in favor of Airbus, they will likely get out without any loss, still 88 A320 family member will be cancelled. This will be the difference to Boeing and all the cancelled MAX orders, Boeing will have to pay back, even in many cases penalties.

DY is majority owned by leasing companies. If things start going better for DY the airline will be leasing not buying direct. Most likely as a dumping ground for returned 737NGs.

This is no longer the case. The leasing companies has gradually sold their shares in Norwegian


Also: It is reported that Norwegian has reached a deal with Rolls-Royce, and that they are near a deal with several of the leasing companies. This means they are closer getting a majority of the creditors to approve their restructuring plan in the courts

According to Norwegian media Norwegian has got the approval from the court in Dublin to terminate the final 25 leases they had to get rid of. Thus one step closer to a reconstruction of the company

Agreed, now we have 30 days for any debtors to argue the plan, but sounds like most are in agreement.

Norwegian will be down to 50 aircraft, about a 1/3rd of its pre-covid size, which will be right-sized for return to growth and profitability.

Should be interesting to see what hub and spoke markets they keep and what point-to-point O&D markets they restart when the market returns.

Their ARN-OSL operation is probably just to get aircraft and crew into ARN, now when everything is based out of Oslo

Norwegian is increasing their planned capital raise, planning to raise up to 6 billion NOK (about $700 million) in new capital, including BNOK 1,875 in a hybrid perpitual bond, mainly supported be the Norwegian government. Of the new equity to be raised they already claim to have conditional acceptance of almost 3 BNOK.

The actual capital raise will not happen until mid May though, when the court verdict is final

The Company has previously indicated an overall capital raise of NOK 4.5 to 5.0 billion as part of the Restructuring Proposal (the “Capital Raise”). Based on the current uncertainty related to re-opening of societies due to the Covid-19 pandemic, feedback from investors, the Board of Directors of the Company have chosen to be conservative and increase the Capital Raise to a minimum NOK 4.5 billion up to NOK 6.0 billion, including a New Capital Perpetual Bonds with gross proceeds of up to NOK 1,875 million and a Rights Offering directed to the shareholders as of the record date with gross proceeds of up to NOK 400 million.

Don't think BLL ever was a base, although they had quite a few routes their

My understanding is that all will be under the DY code, although it might be "operated by". With using the Swedish AOC as the EU one, it also creates a lot more flexibility, similar that SAS enjoys. Previously there was a lot of limitations on mixing operations between DY and D8 aircraft and crew, while you can "mix" more flexible between a Norwegian and Swedish AOC

After a year in storage (first @AEP and then @EZE) the 3 remaining ex Norwegian Argentina 737-800s are being readied for their return to Europe. I am not sure if they will join the "new" Norwegian or if they will be returned to the lessor. For those wondering, JetSmart acquired DN's operation in Argentina and slots @AEP.

Norwegian has announced their new capital raise, for up to 6 billion NOK (About MUSD 720). Not that much is new, it just the formal release of the planned capital raise

Of the 6 BNOK, 1.875 MNOK will be a perpetual bond, of which the Norwegian government is likely to provide 1.500 MNOK. 395 MNOK will be raised from existing shareholders, that each will get subscriptions rights in the share issue. The remaing 3,7 BNOK will be raised among other investors, of which 2,9 BNOK already is secured from a group of 6 Norwegian investors and funds

The Company has negotiated and signed agreements for 4 owned and 44 leased aircraft and intends to operate the fleet on a short-haul network primarily in Norway and the Nordics or from Norway/the Nordics to Continental Europe. All 51 aircraft will be operated based on “Power by the Hour” agreements through Q1 2022 which significantly increase the Company’s flexibility and limit lease payments in the event of a prolonged period with challenging markets due to the COVID-19 pandemic.


I.e. the power by the hour leasing agreement gives them full flexibility through Q1 2022

Page 24 of this presentation shows that both Ryanair and Wizzair have costs per Available Seat Kilometre upto 50% BELOW the new Norwegian (and Flyr).

This should be of some concern to investors.

In 2022, yes. 40 with bases in Norway, while the other 28 to be used to/fra ARN/CPH/HEL, and some traffic from ALC/AGP to Scandinavia/Nordics

That didn't seems to be a big concern, as Norwegian just announced it took less that 30 minutes after the markets in Norway opened, before the share issue was oversubscribed

Lots of ex-Norwegian Group B737 and B787 movements recently. While 787 are all heading back to lessors, some 737 are returning to Norwegian Mk. II and quite a fair bit heading to Aeromexico (last count 6 are going there).

Doing a quick search, the airline has got flights from Oslo to Nice, Barcelona, Berlin... starting on the 31st of May. Does anyone know if these will actually go ahead or if the airline hasn’t yet updated its schedule for next month?

Peoples appetite for risk is never ending. Pouring in money again and again in unprofitable businesses. Does anyone know how much money Norwegian has lost in total since they started their operations?

To your point, the last 3 remaining Norwegian Argentina 738 (LV-HQH/IQZ/ITK) left EZE on 5/5 on their way to DUB, with stops at NAT & LPA, to be returned to the lessor. Heard that they are going to Jet2.

They are also resuming (or are supposed to at least) resume OSL-BEG from 31.05 which is supposed to operate 4 times per week in June. Like you, I am curious to see what becomes of this as they are going to compete against JU which currently flies twice per week, going to three in June. JU has transfers so they can compensate the lack of O&D as long as there are entry restrictions but I don't know what DY plans.

Unless Norway changes its Covid-travel policy by then, I expect to see most of these flights cancelled within short time

Slide 26 was interesting in noting MAX or Neo in the future. Would be quite the switch if the Neo won out, but I suspect MAX terms would be good.

29 787-9 is an opportunity for any large airline for sure.

They are all gone

Either returned to lessors or in the hands of the creditors

Of AerCaps 11 leased to Norwegian 2 -9 has gone to
NEOS, while 6 -9s and 3 -8s has been signed signed with Norse Atlantic

The rest are yet to find a new operator or owner. Some are still stored at OSL, the rest are flown to various places

There's apparently yet another Swedish operator with its own AOC under the name Norwegian Air Sweden AOC AB (ICAO NSZ, callsign Norlight), which according to Planespotters already has seven 738s registered to it.

The financially troubled Norwegian group has founded a second operational subsidiary in Sweden. This is called "Norwegian Air Sweden AOC AB" and has already been assigned the ICAO code NSZ.

It was only in 2018 that the low-cost airline founded the offshoot Norwegian Air Sweden, which is assigned the ICAO code NSW. The callsign is Nordic. The new foundation uses the callsign Norlight. What Norwegian is aiming for with a second airline in Sweden is completely unclear. The company didn't want to say anything.

Out of curiosity I checked reservations and a 5x weekly rotation between ARN/OSL is already listed to be operated by it between May 31 and June 27, and a 6x weekly rotation between CPH/OSL between May 20 and June 27, after which the "regular" or "planned" schedules from ARN/CPH resume, with flights operated between DY and the original "Norwegian Air Sweden AB".

In addition, an FAA notice, Planespotters and Airfleets also list yet another Norway AOC under the name Norwegian Air Shuttle AOC AS (ICAO NOZ, callsign Norseman), with four 738s registered to it.

It just boggles the mind even if it's all temporary.

To explain this in a simple way, is that this is part of Norwegian's restructuring and "clean up", where one key element is to have fewer AOC and a simpler structure. Although it do seems counter intuitive to then establish 2 new AOC, it is part of the process ending up with 2 AOCs. One Norwegian and one Swedish, with the latter being their EU AOC

This means their Irish, British, Longhaul and other Norwegian/Swedish etc, in the end will be gone. Unlike previously when they operated flight under DY, D8 etc codes, all future flight will be under the DY code and same callsign. Just being marked as "operated by...."

As part of the restructuring 10 of the their aircraft that was owned by Norwegian through the aircraft owning and leasing company Arctic Aviation, has been acquired by the leasing company VMO Aircraft Leasing, and leased back to Norwegian. Probably under more favourable leasing terms, including flexible "fly by the hour" rates until March 2022. These aircraft was of course debt finance, thus their got new owners as part of Norwegian's financial restructuring

The following 10 aircraft is now owned by VMO Aircraft Leasing: SE-RPD / -RPJ / -RPI / -RPK / -RPE / - RPF / -RPG / -RPH / -RPL / -RPM
